This Influencer Collaboration Agreement (the “Agreement”) is entered into as of [DATE], (the “Effective Date”), by and between [COMPANY NAME], a(n) [TYPE OF ENTITY], located at [ADDRESS] (the “Company”), and [INFLUENCER NAME], an individual residing at [ADDRESS] (the “Influencer”).
The Company hereby engages the Influencer and the Influencer hereby accepts such engagement to provide services (the “Services”) as described in Exhibit A attached to this Agreement. The Company reserves the right to request changes to the Services, which changes shall be subject to the Influencer’s consent, such consent not to be unreasonably withheld.
As full compensation for the Services and the rights granted to the Company in this Agreement, the Company shall pay the Influencer the sum of [AMOUNT], payable in accordance with the payment schedule set forth in Exhibit B attached to this Agreement.
During the term of this Agreement and for a period of [NUMBER] years thereafter, the Influencer shall maintain in confidence all information and know-how, whether or not in writing, of a private, secret or confidential nature concerning the Company’s business or financial affairs (the “Confidential Information”). The Influencer shall not disclose any Confidential Information to any person or entity other than individuals who need such access for purposes of this Agreement and who are bound by confidentiality terms at least as stringent as those set forth herein.
The Company shall own all right, title and interest in any and all deliverables created by the Influencer under this Agreement, including, without limitation, all Intellectual Property Rights therein (the “Deliverables”). The Influencer hereby assigns to the Company, and agrees to assign, all right, title, and interest worldwide in and to the Deliverables and all Intellectual Property Rights therein.
This Agreement shall commence on the Effective Date and shall continue until completion of the Services unless earlier terminated in accordance with the termination provisions set forth in Exhibit C attached to this Agreement.
The Influencer represents and warrants that he or she is free to enter into this Agreement, and that this engagement does not violate the terms of any agreement between the Influencer and any third party.
The Influencer will indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, consultants, agents, and representatives from any and all third party claims, losses, liability, damages, and/or costs (including reasonable attorney fees and costs) arising from the Influencer’s breach of this Agreement, infringement or violation of any rights of third parties, including without limitation, any copyrights, proprietary rights, privacy rights.
This Agreement will be governed by and construed in accordance with the laws of the state of [STATE], without regard to its conflict of laws principles.
This Agreement sets forth the entire agreement and understanding between the Company and the Influencer relating to the subject matter herein and supersedes all prior discussions between us.
